Resolution Professional (RP)

Conducting the Corporate Insolvency Resolution Process Toward a Viable Outcome

Once the Committee of Creditors is in place, the Resolution Professional (RP) takes the process forward. The RP manages the affairs of the corporate debtor as a going concern, runs the meetings of the Committee of Creditors, invites and examines resolution plans, and places viable plans before the Committee for approval — all within the strict timelines of the Insolvency and Bankruptcy Code. The RP's competence and impartiality are central to whether a distressed business can be revived.

Our Resolution Professional services are delivered by a registered Insolvency Professional who conducts the resolution process with rigour, transparency, and full compliance with the IBC. We work to preserve value and pursue a resolution that serves stakeholders. This role follows the Interim Resolution Professional stage, sits within our broader insolvency services, and connects to the Liquidator role where resolution is not achieved.

Frequently Asked Questions

What is a Resolution Professional (RP)?
A Resolution Professional is a registered Insolvency Professional who conducts the corporate insolvency resolution process after the Committee of Creditors is constituted. The RP manages the corporate debtor as a going concern, runs the Committee's meetings, and invites, examines, and presents resolution plans, working toward a viable resolution within the IBC's timelines.
How is the RP appointed?
After the Interim Resolution Professional constitutes the Committee of Creditors, the Committee decides whether to continue with the same person as RP or to appoint a different registered Insolvency Professional. The appointment is then confirmed in accordance with the process set out in the Code.
What are the RP's main responsibilities?
The RP manages the debtor's affairs, preserves its assets and value, conducts Committee of Creditors meetings, prepares the information memorandum, invites and scrutinises resolution plans, and places compliant, viable plans before the Committee for its decision — all while ensuring the process complies with the IBC.
What happens if no resolution plan is approved?
If no resolution plan is approved within the permitted timeline, or the Committee decides accordingly, the corporate debtor generally proceeds to liquidation. At that stage a Liquidator is appointed to realise the assets and distribute the proceeds among stakeholders in the order of priority set by the Code.
Who can act as a Resolution Professional?
Only a registered Insolvency Professional can act as an RP. The role demands strong management, financial, and process skills, along with strict impartiality and compliance, because the RP effectively steers the attempt to rescue a distressed business on behalf of all stakeholders.
