What is an AGM?
An Annual General Meeting is the yearly meeting of a company’s members required under the Companies Act. At the AGM the members consider the financial statements, declaration of dividend, appointment or retirement of directors, and matters relating to the auditors, among other business.
When must an AGM be held?
A company must hold its first AGM within nine months of the end of its first financial year, and each subsequent AGM within six months of the end of the financial year. In addition, the gap between two annual general meetings must not exceed fifteen months.
What business is transacted at an AGM?
The ordinary business at an AGM typically includes adoption of the audited financial statements, declaration of dividend, appointment of directors in place of those retiring, and appointment or fixing of remuneration of the auditors. Any other item is treated as special business requiring an explanatory statement.
What notice is required for an AGM?
An AGM is generally called by giving at least twenty-one clear days’ notice to the members, along with the required documents. A shorter notice is permissible where the prescribed proportion of members entitled to vote at the meeting agrees to it.
Does a one person company need to hold an AGM?
No. A one person company is not required to hold an annual general meeting. This is one of the relaxations available to an OPC, although it must still prepare and file its financial statements and annual return within the applicable timelines.
