Legal Entity Identifier (LEI) Code – What It Is and Who Needs It in India

Understanding LEI Requirements for RBI-Regulated Transactions, SEBI Entities, and Financial Market Participants

A Legal Entity Identifier (LEI) is a globally unique 20-character alphanumeric code issued under the ISO 17442 standard that uniquely identifies legal entities participating in financial transactions. Introduced following the 2008 global financial crisis to improve systemic transparency, the LEI system is now mandated by financial regulators in over 200 jurisdictions. In India, the Reserve Bank of India (RBI) has progressively mandated LEI for large-value borrowers, OTC derivatives market participants, FEMA reportable transactions, and non-derivative over-the-counter market transactions. SEBI has separately mandated LEI for listed entities, FPIs, AIFs, and large corporate debt issuers.

Understanding whether your entity requires an LEI — and for which transactions — is critical for avoiding regulatory non-compliance. Our advisory team helps businesses assess LEI applicability, understand RBI and SEBI LEI mandates, and initiate registration through a GLEIF-accredited Local Operating Unit (LOU). This service connects with our LEI Registration Services, Import Export Code, and business restructuring services for entities with changing corporate structures.

Why LEI Compliance Matters for Indian Entities

  • Mandatory for bank borrowings above Rs 5 crore under RBI's phased LEI mandate — lenders will not process covered transactions without a valid, active LEI
  • Required for OTC derivatives transactions (interest rate swaps, currency options, FRAs) reported to trade repositories under RBI mandate
  • Globally recognised identifier that improves counterparty due diligence and credibility in cross-border financial transactions
  • SEBI mandate for FPIs, AIFs, listed companies issuing debt, and entities under the Large Corporates Framework
  • Facilitates integration with SWIFT financial messaging infrastructure and international financial market data systems
  • Annual renewal keeps LEI active and maintains regulatory compliance — lapsed LEIs disrupt transaction processing with banks and trade repositories

Frequently Asked Questions

What is a Legal Entity Identifier (LEI)?
An LEI is a globally unique 20-character alphanumeric identifier issued under ISO 17442 that identifies legal entities engaged in financial transactions. Introduced post-2008 crisis, it is now mandated by regulators in over 200 jurisdictions. In India, RBI, SEBI, and other regulators have progressively extended LEI mandates to cover large borrowers, OTC derivatives participants, listed entities, and FEMA-reporting entities.
Who is required to obtain an LEI in India?
RBI has mandated LEI for: all non-individual entities with aggregate bank credit or non-fund-based facilities of Rs 5 crore and above; OTC derivatives market participants; and entities in non-derivative OTC financial markets above prescribed thresholds. SEBI has separately mandated LEI for listed entities, large corporate bond issuers, FPIs, and registered AIFs. The RBI mandate has been progressively extended to cover more entity categories and lower thresholds.
What information is publicly available in an LEI record?
The LEI record in the GLEIF public database contains standardised reference data including: legal entity name and registered address; country of formation; legal entity form (company, partnership, etc.); registration authority and registration number; date of formation and first LEI issuance; current LEI status (active, lapsed, retired); and Level 2 relationship data identifying direct and ultimate parent entities. All LEI data is publicly searchable on the GLEIF website.
How often does an LEI need to be renewed?
LEIs must be renewed annually by the LEI expiry date. An LEI that has not been renewed transitions to 'lapsed' status in the GLEIF database. A lapsed LEI is generally not accepted by banks, trade repositories, or regulators for transaction processing — potentially disrupting loan disbursements, derivatives reporting, and regulatory submissions. Timely annual renewal before the LEI expiry date is therefore essential.
What is the difference between an LEI and a GSTIN?
A GSTIN is an Indian GST identification number issued by the GSTN for indirect tax compliance. An LEI is a global financial market identifier issued by GLEIF-accredited LOUs for regulatory reporting and counterparty identification in financial transactions. They serve entirely different compliance purposes: GSTIN for goods and services tax; LEI for financial market transparency, RBI/SEBI regulatory reporting, and FEMA compliance.
