A trademark can be transferred from one owner to another — during the proprietor's lifetime through an assignment, or upon death or corporate succession through a transmission. Under Sections 37 to 45 of the Trade Marks Act, 1999, a registered trademark can be assigned or transmitted with or without the goodwill of the business in which it is used. An assignment without goodwill (a bare assignment) is permitted but with restrictions — to prevent consumer confusion — under Section 42. Even pending trademark applications (not yet registered) can be assigned. The assignee becomes the new registered proprietor upon recording of the assignment with the Trade Marks Registry.
